Terms & Conditions of Sale

These general conditions of sale apply to any purchase, whether made at a home party or online on www.softparis.com. For home sales, the full conditions also appear on the back of the order form given to each customer. The French version governs.

A — Home sales

1. Payment

Payment must be made in full at the time of order.

2. Delivery

After payment, products are delivered within a maximum of 21 days, barring force majeure or circumstances beyond Soft Paris's control.

B — Purchases on www.softparis.com

These General Conditions of Sale apply between SP Parties Limited — Ormond Building, 31-36 Ormond Upper Quay, Dublin 7, Ireland; Certificate n° 491733; VAT n° IE9769906T; email sav@softparis.com; tel. +33 6 14 49 93 64 ("Soft Paris") — and any individual visiting or purchasing via www.softparis.com (the "Internet User").

These conditions define the terms of distance selling between Soft Paris and the User, from order to payment and delivery. The order implies full and irrevocable acceptance of these conditions; those in force on www.softparis.com on the order date apply. The User declares being of age, not under guardianship, having the capacity to contract, and not buying products for resale.

1. Limitation

Products offered for sale by Soft Paris are those listed on www.softparis.com on the day of the visit, within available stock.

2. Price

Prices are shown in euros (€) incl. all taxes (VAT included), excluding delivery fees (the User's responsibility unless stated). They reflect the VAT applicable on the order date. Soft Paris may change its prices at any time; products are billed at the rate in effect when the order is registered. For deliveries outside the EU, customs duties and formalities are, unless stated otherwise, the User's sole responsibility, who undertakes to check import possibilities in the delivery country.

3. Order

Any order constitutes express, irrevocable acceptance of the prices and product descriptions. The User declares having read and irrevocably accepted these conditions before ordering. The sale is final only once Soft Paris sends order confirmation and the full price is received. The site's automatic registration systems are proof of the contract and its date. Orders are fulfilled within available stock; if unavailable, Soft Paris informs the User promptly.

4. Payment

Payment must be made online by bank card. The invoice is available on www.softparis.com.

5. Secure payment

We apply Société Générale's SSL 128-bit data-security protocol, which encrypts transactions. You are systematically directed to the SOGENACTIF platform; no information is handled by Soft Paris.

6. Shipping, terms and delivery times

Delivery times are those shown on the site, within available stock. Soft Paris cannot be held liable for delivery delay, for any cause; no compensation may be claimed, except exercising the right of withdrawal and where a product is defective during the warranty period. Soft Paris chooses the carrier and guarantees proper delivery. The User must check the packaging and refuse delivery of a damaged parcel. 8. Right of withdrawal

The User has 14 days to return, at their expense, unused products that do not suit them, from the day of receipt. Returning the product in its original packaging is advised. On exercising the right of withdrawal, the User may request either a refund of the order (excluding return costs) or an exchange. Return conditions are on the Payments, delivery & returns page.

9. Personal data protection

Providing the personal data collected for distance selling is mandatory (needed for processing, delivery and invoicing). This data is strictly confidential and intended only for Soft Paris. In accordance with law n°78-17 of 6 January 1978 on data protection, processing is declared to the CNIL; the User has a right of access, modification, rectification and erasure of their data via the Contact page. This article cannot prevent the overall sale of the company or transfer of activities to a third party.

10. Intellectual property

All elements of the Soft Paris site, visual or audio, are protected by copyright, trademarks or patents and are the exclusive property of Soft Paris. Only private use is authorised; any other use is an infringement. Any total or partial reproduction of Soft Paris sites is strictly forbidden. Any hyperlink to the site (framing, deep-linking, in-line linking or any deep-link technique) requires Soft Paris's prior written permission and must be removed on simple request.

11. Liability

Soft Paris has, for all stages of site access, ordering, delivery and after-services, only an obligation of means. It cannot be held liable for inconveniences or damage related to internet use (service interruption, external intrusion, viruses) or for force majeure (internal or external strike, fire, disaster, breakdown, etc.). Site content may contain technical inaccuracies, omissions or typographical errors and may change without notice. Soft Paris assumes no responsibility for third-party sites accessible via its own.

12. Severability

Should a clause of these conditions be void by a change in law, regulation or court decision, it would in no way affect the validity of the remaining General Conditions of Sale.

13. Duration

These conditions apply throughout the period the services offered by Soft Paris are online.

14. Disputes

In case of dispute, the competent court is the one on which the Internet User depends.
